Value on Board is a web-based service owned and operated by Value Based Solutions Limited Company, located at 1075 Budapest, Károly krt. 5 / a., Company Registration Number 01 09 348397 (Hungarian Limited Liability Company (‘Value on Board’).


These Terms determine and regulate your use of all Value on Board Services, including the “www.valueonboard.com” Website and all Content. These terms and conditions form an integral part of the Privacy Policy .


YOUR USE OF THE VALUE ON BOARD WEBSITES (INCLUDING YOUR CONTENT), YOU AGREE TO BE BOUND BY THE FOLLOWING TERMS AND CONDITIONS OF USE, AND THE FOLLOWING TERMS AND CONDITIONS. IF YOU DO NOT AGREE TO THESE TERMS OR DO NOT WANT TO ACCEPT THEM, PLEASE DO NOT USE THE VALUEBOARD SITE, PRODUCTS, OR SERVICES. Value on Board reserves the right, at its sole discretion, to revise or modify these Terms and Conditions, including the Price List, at any time, to meet any applicable technical, legal or other requirements. The latest updated version of the agreement will always be available on www.valueonboard.com. Value on Board will notify users by email at least 30 days before the new version takes effect via email. If the user does not reject the change in the terms that he / she has been notified, the new version of the terms will determine the further contractual relationship. These documents will take effect on the date of the last update.​


1. Definitions

The words “You”, “Your” or “User” used in this document shall mean any person using the Value on Board Web site and its services, and these words (and their forms) shall be construed accordingly. Similarly, the words “We,” “Our,” and “Value on Board” refer to and are to be construed as meaning Value Based Solutions Limited Company. The term “User Data” means personal information that is registered by www.valueonboard.com and / or any other Value on Board Services in accordance with the Privacy Policy with an appropriate legal basis. The term “Our Website” refers to “www.valueonboard.com” and all related sites. In contrast, the term “Value on Board pages / surveys” refers to users’ surveys, that is, the Value on Board pages they create. “Third Party” means any person / organization / company not affiliated with Value on Board.


2. Recommended Services

2.1 Free Version

The Value on Board system for building a chatbot profile, creating and running online chatbots is completely free for all users with a limited number of chat conversations.


2.2 Subscription Services

The Value on Board system provides statistics and analysis based on the chatbots. Fill-in for this analysis is limited in the free version. If you want to see your analytics and statistics for a full fill, you can purchase subscription services.


3. Paid Services

Each service has a specific price or price range. These prices may vary in line with market changes or may be temporarily replaced by special / discounted prices. Prices are in local currency or US dollars (USD). See the Prices page for an overview of the price list . All prices quoted (web site, price list, applications, etc.) are exclusive of VAT as the amount is determined by the rules of the country where you buy from. You will see the final price in your shopping cart before completing your purchase.


4. Contract and Termination

4.1 Contract

The Service Agreement is effective from the moment that the User (you) accept the Terms of Service. In the case of using Premium Services, the relevant agreement shall apply from the time the order is placed, which the User may initiate by implied conduct, by initiating the order process. The contract shall not be considered as written.


4.2 Duration and Termination of the Contract

In the case of Premium Services, the Service Purchase Agreement is automatically renewed for the selected subscription period until the User does not renew the subscription. In this case, the User is entitled without any reason to request that all data created and managed in the account be deleted.​


Services regulated by these Terms and Conditions shall be deemed to be services that Value on Board has commenced with the expressed prior consent of the consumer, and by accepting these Terms, you acknowledge that you will lose your right to terminate the service as a whole.


Accordingly, Users are kindly reminded that the use of the www.valueonboard.com website or its services, by its very nature, does not entitle consumers to a 14-day right of withdrawal without the provisions of Section 45/2014. (II. 26.) Government Decree.


After the subscription expires, the data created and managed in the user account, including personal data, to which the provisions of the Privacy Policy shall apply, shall remain available to the User.


5. Payment, Fees and Refunds

5.1 Our payment processing partner

We use a third party service called PayPal to process Value on Board payments. Payments are also subject to our Privacy Policy , but PayPal’s Privacy Policy also applies as long as they do not provide a lower level of protection than www.valueonboard.com privacy policy or the requirements contained in these Terms of Service. We are not responsible for the performance or security of PayPal nor are we able to verify. You agree to pay all fees at the time of ordering through PayPal in accordance with the applicable payment terms. You agree to apply the fee to the form of payment selected in your account. We reserve the right to correct or instruct our processor to correct any errors, even if we have already requested or accepted your payment.


Value on Board does not have access to payment information (for more information on forms of payment and security – see paragraph 5.7).


5.2 Fees and Charges

Some of the services covered by these Terms are subject to a fee (these additional services are referred to as “premium services”). The Premium Services shall remain in effect until terminated by either Party by means of a future termination of the Agreement or otherwise in accordance with this Agreement. Prior to refunding the order by the User, the User will be informed of the final price of the selected Premium Services, including any additional charges, VAT, etc. The final prices and fees will appear on the invoice, which will be sent to the email address provided by the User upon registration.


5.3 Automatic renewal of subscription

In order to provide you with non-stop services, the premium subscription period and the User’s associated reimbursement obligation will be automatically extended from the date of first payment until the automatic renewal feature is disabled.


You can disable automatic renewal at any time in your Value on Board account settings or contact our support team .


5.4 Non-Payment of Fees

If you do not pay the subscription fee for the premium service by the due date, the free version will automatically become available to you.


5.6 Refund Requests

The User may cancel the subscription for the Premium Services at any time. The User shall not claim a refund for the service fee already paid. The paid service will remain active until the end of the refund period. The User also disables the possibility of automatic extension (see section 5.3).


6. Use of Services

Sections 6.1 through 6.8 determine how the Value on Board Services may be used. Any activity that is not in accordance with the Terms of Use described or otherwise prohibited constitutes a violation of the Terms of Use that justifies limiting the services covered by the agreement with the User.


6.1 Content

As a Value on Board user, you agree that you will not post or distribute content on the pages (questionnaires) that is defamatory, threatening, obscene, harmful, pornographic, or otherwise illegal. Also prohibited is any text that violates or interferes in any way with the Value on Board or the rights of others (including intellectual property rights, confidential information and privacy) and activities that may cause us or others to be frightened or uncomfortable. In addition, it is forbidden to express vulgar, brutal, sexist, racist or otherwise abusive opinions. Users are invited to respect the rights and legitimate interests of each other and of non-users.


6.2 Ownership of Content

You further agree not to post or otherwise publish on the Value on Board pages, without the express permission of the rightful owner, any copyrighted work for which you do not have the appropriate rights.


6.3 System Violations

The User shall not take any action that could interfere with the operation of the Value on Board pages or the security of the site.


6.4 SPAM

You may not support your Value on Board-led project by sending SPAM (that is, sending mail to recipients without their prior consent).​


6.5 Circumvention

You may not use any method to circumvent the limitations of the software packages or the Value on Board service in bad faith and / or for profit.


7. Obligations of the User

You are not allowed to make your own user account available to third parties. If you would like to purchase more premium accounts for your employees (your organization), please contact us.


Keep your credentials and personal password in a safe place to prevent unauthorized (third party) access.


For security reasons, change your password periodically. If you suspect a third party knows your password, change it immediately to avoid any further inconvenience.


8. Intellectual Property

All Value on Board’s copyrighted material, materials, trademarks and other parts of the pages, or products shipped with Value on Board’s copyrighted materials, are all owned by Value on Board or its suppliers. You are not authorized to use the protected content or materials without the express permission of Value on Board. The license applies only to the use described in the Terms of Service. You may not copy, reproduce, distribute, use for commercial purposes or in any other way utilize the materials or content, or assist / enable any third party to do so.


9. Handling and processing of personal data

Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of personal data relating to the processing of personal data and on the free movement of such data and Regulation 95/46 / EC shall be repealed. (“GDPR” for short). For more information on the policies and procedures for the handling and processing of personal data, see the Privacy Policy posted on the Website , which is an integral part of this GTC and is binding on the Parties.


10. Violation of Terms and Conditions

In the event of a User’s violation of these Terms and Conditions, Value on Board will have the discretion to initiate a penalty or legal action, except to the extent that we are required to initiate such procedures as required by law.


11. Interruption / cessation of service

We reserve the right to terminate or suspend our services for an indefinite period to customers who have violated (or have reason to believe that they have violated) these terms. Value on Board also reserves the right to terminate its services to the User if we become aware that it is engaging in unacceptable behavior, infringing or endangering the rights of others, or otherwise violating the Terms of Use.


12. Limitation of Liability

Value on Board disclaims all liability for damages resulting from errors that may occur on www.valueonboard.com and disclaims any liability for any improper or unauthorized use of the Service.


The User shall be liable for any damage resulting from unlawful or improper use. Subscriber acknowledges that violation of the terms of use may result in civil and criminal consequences.


Any event beyond the control of the Parties and affecting the performance of the Contract shall be considered as force majeure for the purposes of this GTC (eg natural disaster, fire, explosion, strike, power failure, Internet service failure, failure to provide official data, etc.).


Value on Board shall be liable only to the User for damages arising out of a breach of contract caused intentionally or through gross negligence. The User expressly agrees that the Service Provider’s liability for all its services shall be up to the amount of the fee already paid or payable by the User, given that the amount of the fee charged to each User is limited to the exclusion or limitation of liability.


Value on Board accepts no liability for errors in the system and its contents, or for unauthorized operation of any software error (bug). The User is obliged to report any error to Value on Board and, if such malfunctioning occurs, will not be used until the error has been corrected, as Value on Board will not be liable.

For User Content, primarily, but not exclusively, blog posts and forums. We declare that we do not endorse and are not required to reflect our views. We reserve the right, in our opinion, to monitor, respond to, modify, delete or disable such material on our public surfaces.


We are not responsible for the accuracy, timeliness or reliability of any information / announcement on the Value on Board Sites, nor are we responsible for announcements, advice and / or opinions posted on the User Blog / Forum. If a User or a third party has any claims arising out of the work and / or statement of another user, you agree that you will seek a claim from that User and not from Value on Board.


Except as required by the legal environment, the Value on Board web site is for quality, accuracy or fitness. We do our best to provide you with the widest range of professional services.


13. Availability

Value on Board warrants its software to deliver a 0-24 hour service level with 99% availability per year. This provides a maximum downtime of 3.65 days per year for your Value on Board service, including scheduled and announced maintenance times and other issues. Value on Board provides an independent third-party report on availability upon request on an annual basis.
